Terms of Service
1. Acceptance of Terms
Welcome to Dispatchify. These Terms of Service ("Terms") constitute a legally binding agreement between you and Dispatchify Technologies LLC ("Dispatchify," "we," "us," or "our") governing your access to and use of the Dispatchify platform, including our website, mobile application, and all related services (collectively, the "Platform").
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email to the address associated with your account. Your continued use of the Platform after such notification constitutes acceptance of the modified Terms.
2. Platform Overview
Dispatchify is a national marketplace that connects businesses and individuals seeking security services ("Clients" or "Opportunity Submitters") with licensed security service providers ("Providers"). Clients submit opportunities describing their security needs, and Providers purchase access to these opportunities using tokens to contact potential customers.
Dispatchify is a platform that facilitates connections between Clients and Providers. We are not a security company, and we do not provide security services directly. We do not employ, endorse, or guarantee any Provider, and we are not responsible for the quality, safety, or legality of any services provided by Providers.
3. Eligibility
To use the Platform, you must:
- Be at least 18 years of age
- Be located in the United States
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Platform under applicable law
3.1 Additional Requirements for Providers
To register as a Provider, you must also:
- Hold a valid Private Patrol Operator (PPO) license issued by the appropriate state authority
- Maintain current and valid liability insurance
- Provide proof of your PPO license and insurance during registration
We reserve the right to verify your credentials at any time and to suspend or terminate your account if your license or insurance lapses or is revoked.
4. Geographic Limitations
The Platform is intended for use only within the United States. By using the Platform, you represent and warrant that you are located in the United States. We do not offer services to users outside the United States, and we make no representations that the Platform is appropriate or available for use in other locations.
5. Account Registration and Security
5.1 Account Creation
To access certain features of the Platform, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate and complete.
5.2 One Account Per User
Each individual or business entity may maintain only one account on the Platform. Creating multiple accounts is prohibited and may result in termination of all associated accounts.
5.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
6. Terms for Clients (Opportunity Submitters)
6.1 Submitting Opportunities
By submitting an opportunity, you represent and warrant that:
- You are genuinely seeking security services for the needs described
- All information you provide is accurate and complete
- You have the authority to make inquiries on behalf of the business or property listed
- You consent to being contacted by Providers who unlock your opportunity via phone, email, or text message
6.2 Account Creation for Clients
When you submit an opportunity, an account will be created for you using the contact information provided. You may log in to this account to manage your opportunities and preferences.
6.3 Reviews
Clients may leave reviews and ratings for Providers they have engaged with. Reviews must be honest, accurate, and based on genuine experiences. We reserve the right to remove reviews that violate these standards or our community guidelines.
7. Terms for Providers
7.1 Token System
Providers use tokens to unlock opportunities and access Client contact information. The following rules apply to tokens:
- Tokens are purchased through the Platform using payment methods processed by Stripe
- All token purchases are final and non-refundable for cash
- Tokens do not expire
- Tokens are non-transferable and cannot be gifted, sold, or transferred to another account
- Token pricing is displayed on the Platform and may be updated from time to time
7.2 Unlocking Opportunities
When you unlock an opportunity:
- The required number of tokens will be deducted from your account
- You will receive access to the Client's contact information
- You may contact the Client only through the phone number and/or email address provided
7.3 Contact Restrictions
When contacting Clients from unlocked opportunities, you agree to:
- Contact Clients only through the phone number and email address provided in the opportunity
- Not contact Clients through social media, physical visits, or any other means not provided
- Conduct yourself professionally and respectfully in all communications
- Not share, resell, or distribute opportunity information to any third party
- Use opportunity information solely for the purpose of offering the security services requested
7.4 Prohibited Uses of Opportunity Information
You may NOT use opportunity information for any purpose other than contacting the Client regarding the requested security services. Misuse of opportunity information, including but not limited to using it for marketing unrelated services, selling or sharing with third parties, or harassment, will result in immediate account termination.
8. Communications Compliance (TCPA)
8.1 Provider Responsibility for Communications
Providers are solely responsible for ensuring that all communications with Clients comply with applicable federal and state laws, including but not limited to:
- The Telephone Consumer Protection Act (TCPA)
- The Telemarketing Sales Rule (TSR)
- The CAN-SPAM Act
- State telemarketing and consumer protection laws
- Do-Not-Call (DNC) registry requirements
8.2 Consent
By submitting an opportunity, Clients consent to being contacted by Providers who unlock their opportunity. However, this consent applies only to communications related to the specific security services requested. Providers are responsible for:
- Honoring any request by a Client to stop receiving communications
- Maintaining their own internal do-not-call lists
- Ensuring compliance with time-of-day calling restrictions
- Properly identifying themselves in all communications
- Not using auto-dialers, prerecorded messages, or artificial voice messages unless separately permitted by law
8.3 Text Message Compliance
If Providers choose to contact Clients via text message (SMS/MMS), they are solely responsible for ensuring compliance with all applicable laws governing text messaging, including obtaining any additional consent required beyond the initial opportunity submission.
8.4 Call Recording
If Providers record telephone calls with Clients, they are solely responsible for compliance with applicable federal and state call recording laws, including obtaining consent where required. Dispatchify does not record calls and is not responsible for Provider call recording practices.
8.5 TCPA Indemnification
Providers agree to indemnify, defend, and hold harmless Dispatchify from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to Provider's communications with Clients, including but not limited to any claims under the TCPA, TSR, CAN-SPAM Act, or any state telemarketing or consumer protection laws.
9. Opportunity Labels and Verification
We may display various labels on opportunities to help Providers make informed decisions:
9.1 Verified Badge
A "Verified" badge indicates that we have verified the Provider holds a valid PPO license with the appropriate state authority and maintains current, valid insurance.
9.2 High Intent Label
A "High Intent" label indicates that the Client has indicated they are ready to hire a security provider, as opposed to planning or researching options. This designation is based solely on the Client's self-reported information.
9.3 Hot Label
A "Hot" label indicates that the Client is ready to hire and has indicated a near-term start date for services.
9.4 Verification Disclaimers
IMPORTANT: ALL VERIFICATION IS PROVIDED ON A "POINT-IN-TIME" BASIS ONLY. Dispatchify's verification of Provider credentials (PPO license and insurance) reflects the information available at the time of verification and does not constitute:
- Ongoing monitoring of Provider credentials
- A guarantee that credentials remain valid after the verification date
- An endorsement, recommendation, or certification of any Provider
- A guarantee of Provider quality, reliability, or trustworthiness
- A background check or criminal history screening
- Verification of Provider employees, subcontractors, or agents
Credentials may lapse, be revoked, or change at any time after verification. Clients are strongly encouraged to independently verify Provider credentials, request proof of current licensing and insurance, and conduct their own due diligence before engaging any Provider.
9.5 No Guarantee of Accuracy
While we strive to provide accurate and useful information, we do not guarantee the accuracy, completeness, or reliability of any opportunity information, including Client contact details, service requirements, or any labels or badges displayed. Opportunities are provided "as is," and Providers assume all risk associated with contacting and engaging with Clients.
10. Fraudulent Opportunity Protection
10.1 Dispute Process
If you believe an opportunity you unlocked is fraudulent, you may submit a dispute within seven (7) days of unlocking the opportunity. To submit a dispute, contact us through the Platform or at info@dispatchify.io with:
- The opportunity ID or identifying information
- A description of why you believe the opportunity is fraudulent
- Any supporting evidence (optional, but helpful)
10.2 Review Process
Our team will review your dispute within five (5) business days. We will independently verify the opportunity information and may contact the Client as part of our investigation.
10.3 Definition of Fraudulent Opportunity
An opportunity is considered fraudulent if:
- The contact information provided is fake or non-functional (invalid phone number or email address)
- The opportunity submitter misrepresented their identity
- The opportunity submitter had no genuine intent to hire security services
- The opportunity is a duplicate or spam submission
10.4 What Is NOT Considered Fraudulent
The following situations do NOT qualify as fraudulent opportunities:
- The Client did not respond to your contact attempts
- The Client chose a different Provider
- The Client changed their mind about needing security services
- The Client's budget did not match your pricing
- The Client was unresponsive, rude, or unprofessional
- You were unable to reach an agreement with the Client
10.5 Resolution
If we determine that an opportunity was fraudulent, we will credit the tokens used to unlock that opportunity back to your account. Token refunds are credited to your Platform account only; no cash refunds will be issued under any circumstances.
10.6 Final Decision
Dispatchify's determination regarding disputes is final and binding. There is no appeal process.
10.7 Fraudulent Opportunity Submitters
Clients found to have submitted fraudulent opportunities will have their accounts immediately and permanently terminated.
11. Subscription Plans
11.1 Subscription Benefits
Providers may subscribe to premium plans that offer benefits including:
- Discounted token pricing
- Early access to new opportunities
- Extended access to opportunities
Subscription pricing starts at $99 per month. Current pricing and available plans are displayed on the Platform.
11.2 Billing and Renewal
Subscriptions are billed monthly through Stripe. Your subscription will automatically renew each month unless you cancel before the renewal date.
11.3 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
- You will retain access to subscription benefits until the end of your current billing period
- No partial refunds will be issued for the remaining time in your billing period
- Any unused tokens or benefits will remain in your account but will not be refunded
- Discounted token pricing will no longer apply after your subscription ends
12. Promotional Tokens
From time to time, we may offer promotional tokens through marketing campaigns or other promotions. Promotional tokens:
- Are earned through specific promotional campaigns as described in the promotion terms
- Do not expire
- May be used for any available opportunities without restriction
- Cannot be exchanged for cash or transferred to another account
13. Payments and Fees
All payments on the Platform are processed by Stripe. By making a purchase, you agree to Stripe's terms of service. You represent and warrant that you are authorized to use the payment method you provide.
All fees and charges are non-refundable except as expressly provided in these Terms (e.g., tokens credited back for verified fraudulent opportunities). We reserve the right to change our pricing at any time, with notice to existing subscribers.
14. Illegal Content and Platform Safety
14.1 Prohibited Content
The following content and activities are strictly prohibited on the Platform:
- Content that promotes or facilitates illegal activity
- Fraudulent, deceptive, or misleading content
- Content that infringes on intellectual property rights
- Harassment, threats, abuse, or intimidation of any user
- Hate speech, discrimination, or content promoting violence
- Sexually explicit or obscene content
- Content related to illegal weapons, drugs, or controlled substances
- Spam, phishing, or malware distribution
- Impersonation of any person or entity
- Any content that violates applicable laws or regulations
14.2 Reporting Violations
If you encounter content or behavior that violates these Terms, please report it immediately to info@dispatchify.io. Include as much detail as possible, including screenshots or other evidence if available.
14.3 Content Removal and Enforcement
Dispatchify reserves the right, but not the obligation, to:
- Remove or disable access to any content that violates these Terms
- Suspend or terminate accounts that violate these Terms
- Take any action we deem necessary to protect the Platform and its users
- Report illegal activity to law enforcement authorities
We may take these actions without prior notice and without liability to you.
14.4 Cooperation with Law Enforcement
Dispatchify will cooperate with law enforcement authorities when required by law or when we believe cooperation is necessary to protect the safety of our users or the public. This may include disclosing user information in response to valid legal requests.
15. Account Monitoring and Audit Rights
15.1 Monitoring Rights
Dispatchify reserves the right to monitor, review, and analyze any activity on the Platform, including but not limited to:
- Account activity and usage patterns
- Communications sent through the Platform
- Opportunity submissions and unlocks
- Reviews and ratings
- Compliance with these Terms
15.2 Investigation Rights
We reserve the right to investigate any suspected violation of these Terms. During an investigation, we may:
- Access and review account information
- Temporarily suspend account access
- Request additional information or documentation from you
- Engage third parties to assist with the investigation
15.3 Compliance Verification
For Providers, we may periodically verify compliance with licensing and insurance requirements. You agree to promptly provide updated documentation upon request. Failure to provide requested documentation may result in account suspension.
16. Non-Circumvention and Marketplace Protection
16.1 Prohibited Circumvention Activities
You agree not to engage in any activity designed to circumvent the Platform's token system or marketplace economics, including but not limited to:
- Attempting to obtain Client contact information without using tokens
- Scraping, harvesting, or collecting data from the Platform
- Using automated tools, bots, or scripts to access the Platform
- Sharing or reselling opportunity information with non-account holders
- Encouraging Clients to submit opportunities outside the Platform
- Soliciting Clients for services unrelated to the original opportunity
- Asking Clients to cancel their opportunity and contact you directly
16.2 Data Protection
You may not copy, store, or maintain a database of opportunity information beyond what is reasonably necessary to contact and engage with individual Clients. You may not use opportunity information to build competitive products or services.
16.3 Enforcement
Violation of this section may result in immediate account termination, forfeiture of tokens, and legal action. Dispatchify reserves the right to seek injunctive relief and damages for any circumvention activities.
17. Intellectual Property
17.1 Platform Ownership
The Platform, including all content, features, functionality, software, text, graphics, logos, and trademarks, is owned by Dispatchify or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.
17.2 User Content
By submitting any content to the Platform, including reviews, feedback, or other materials ("User Content"), you grant Dispatchify a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content throughout the world in any media. You represent and warrant that you own or have the necessary rights to submit the User Content and that the User Content does not violate any third party's rights.
17.3 Feedback
If you provide us with any feedback, suggestions, or ideas regarding the Platform, you agree that we may use such feedback without any obligation to compensate you and without any restriction.
18. Prohibited Conduct
You agree not to:
- Provide false, misleading, or inaccurate information
- Create multiple accounts
- Share, sell, or transfer your account or tokens
- Use opportunity information for any purpose other than contacting Clients about the requested security services
- Contact Clients through any method other than the phone number and email provided
- Harass, threaten, or abuse any user of the Platform
- Attempt to circumvent any security features of the Platform
- Use automated scripts, bots, or other tools to access the Platform
- Scrape, harvest, or collect data from the Platform
- Interfere with or disrupt the Platform or servers
- Reverse engineer or decompile any part of the Platform
- Use the Platform for any illegal purpose
- Violate any applicable law or regulation, including TCPA and telemarketing laws
19. Account Termination
19.1 Termination by You
You may close your account at any time by contacting us at info@dispatchify.io. Upon closure, any remaining tokens in your account will be forfeited and will not be refunded.
19.2 Termination by Dispatchify
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent or illegal activity
- Misuse of opportunity information
- Submission of fraudulent opportunities
- Violation of TCPA or other communications laws
- Abusive behavior toward other users or our staff
- Failure to maintain valid licensing or insurance (for Providers)
- Circumvention of the Platform's token system
Upon termination, you will lose access to your account and any remaining tokens, with no refund.
20. Third-Party Links and Services
The Platform may contain links to third-party websites or services that are not owned or controlled by Dispatchify. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Dispatchify shall not be responsible or liable for any damage or loss caused by your use of any such third-party websites or services.
21. Modifications to the Platform
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform. We may also impose limits on certain features or restrict your access to parts or all of the Platform without notice or liability.
22. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- The Platform will be uninterrupted, secure, or error-free
- Any opportunity information will be accurate, complete, or reliable
- Clients will respond to or engage with Providers
- Any transaction between Clients and Providers will be successful
- Providers are qualified, licensed, insured, or trustworthy
- Any verification we perform is complete, accurate, or current
You use the Platform at your own risk. We are not responsible for the actions of any user, whether Client or Provider.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPATCHIFY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT YOU PAID TO DISPATCHIFY IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
24. Indemnification
You agree to indemnify, defend, and hold harmless Dispatchify and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable law, including TCPA and communications laws
- Any content you submit to the Platform
- Any services you provide or receive through connections made on the Platform
- Your communications with Clients or Providers
25. Dispute Resolution
25.1 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Los Angeles County, California, and shall be conducted by a single arbitrator.
The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. This arbitration agreement shall survive termination of these Terms.
25.2 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Dispatchify.
25.3 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or violation of the non-circumvention provisions of these Terms.
26. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.
27. Regulatory Cooperation
Dispatchify cooperates with regulatory authorities, licensing boards, and law enforcement agencies as required by law or when we believe cooperation is appropriate. This includes:
- Responding to valid subpoenas, court orders, and legal process
- Cooperating with state licensing boards regarding Provider credentials
- Reporting suspected illegal activity to appropriate authorities
- Providing information to regulators investigating consumer protection matters
You agree to cooperate with any investigation or inquiry related to your use of the Platform.
28. Force Majeure
Dispatchify shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
29. General Provisions
29.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dispatchify regarding your use of the Platform and supersede all prior agreements and understandings.
29.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
29.3 Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
29.4 Assignment and Business Transfers
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, sale of assets, bankruptcy, insolvency, receivership, or other business transfer. In such event, the successor entity will be bound by these Terms.
29.5 Notices
We will send notices to you via email to the address associated with your account. You may send notices to us at info@dispatchify.io.
29.6 No Agency
Nothing in these Terms shall be construed to create a joint venture, partnership, employment, or agency relationship between you and Dispatchify. You have no authority to bind Dispatchify in any respect.
